1. The Service.
Annote is a browser extension and web app for capturing, structuring, diagnosing, and collaborating on website feedback.
2. Accounts.
You must provide accurate information, keep your credentials secure, and be responsible for activity under your account. The Service is not directed to anyone under 16, and we do not knowingly collect personal data from anyone under 16. You must be at least 16 and able to form a binding contract.
3. Acceptable use.
Only capture pages and data you're authorized to capture. Don't use Annote to collect data unlawfully, infringe others' rights, reverse-engineer or disrupt the Service, or violate any law. You're responsible for what you capture and share, including via public session links.
4. Your content.
You retain ownership of content you create and capture. You grant us a limited license to host, process, and display it solely to operate the Service (including sending captured content to our AI and transcription providers).
5. AI output.
AI-generated tickets and diagnoses may be wrong; they're provided "as is" for your review and are not professional advice.
6. Plans, billing, and changes.
Paid plans are billed in advance per the pricing shown at checkout, on a monthly or annual cycle, through our payment processor (Stripe). Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current billing period, and access continues until then. Seat changes are prorated and reflected at your next renewal. Plan upgrades take effect immediately. Fees are non-refundable except where required by law.
7. Third-party services.
The Service relies on providers including OpenAI, Google Firebase, Stripe, Resend, and Vercel; your use is also subject to their terms where applicable.
8. Intellectual property.
We own the Service and its software; these Terms grant you a limited, revocable, non-transferable right to use it.
9. Termination.
You may stop and delete your account anytime; we may suspend or terminate for breach.
10. Disclaimers & limitation of liability.
The Service is provided "as is" without warranties. To the maximum extent permitted by law, North Needle LLC's total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.
11. Indemnification, governing law, disputes.
You agree to indemnify and hold harmless North Needle LLC and its member from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.
These Terms are governed by the laws of the State of Montana, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Montana.
